Who these terms are between
These terms are between you and Josh Mason, an independent developer based in the United Kingdom trading as Spanner (“Spanner”, “I”, “we”). Contact address: Unit 82701, PO Box 92, Cardiff, CF11 1NB, United Kingdom. By installing or using the Spanner app or this website you agree to them. If you do not agree, please do not use the app.
Spanner is a one-person operation. That means quick, direct support, but also that the service is provided on a best-effort basis as described below.
What Spanner is, and is not
Spanner helps the sole trader keep jobs, raise quotes and invoices, and chase what is overdue. It is a record-keeping tool for the sole trader, not a team or office system.
Spanner is not:
- legal, tax or accounting advice;
- a guarantee that any invoice will be paid;
- a substitute for a qualified accountant, bookkeeper or solicitor;
- a payroll, CIS, VAT-return or full accounting package.
You are responsible for the paperwork you send, the figures you enter, and any legal or tax duties that apply to your trade. Status on Today depends entirely on the dates and amounts you record.
Your account and data
You do not need an account to use the Free tier. Pro cloud backup requires signing in with an email address you control. You are responsible for keeping access to that email secure and for the accuracy of the information you enter.
You retain ownership of the content you add to Spanner. You grant us the limited rights needed to store, back up and display it to you and to generate PDFs at your request.
Personal data about your customers. When you use Pro cloud backup, you are the controller of personal data you enter about your customers and job contacts. Spanner is your processor for that data, on the terms in the Data Processing Addendum. You must only upload other people’s personal data if you have a lawful basis to do so. Our handling of account data (where Spanner is controller) and of customer-of-customer data (where Spanner is processor) is described in the Privacy Policy and the DPA.
Do not upload content you do not have the right to store.
Subscriptions
Spanner Pro is a recurring subscription purchased through the Apple App Store or Google Play. The advertised prices are £12 a month or £99.99 a year; Apple or Google bill you at the price shown in the store at the time of purchase. New subscriptions may include a 14-day free trial when Apple or Google say you are eligible; you will not be charged if you cancel before the trial ends.
- Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period.
- You manage and cancel subscriptions through your Apple or Google account settings, not through us.
- Refunds are handled by Apple or Google under their policies.
- If a subscription lapses, Pro features stop and the app returns to Free limits. Your data stays on your device. Anything you have already created stays readable and exportable.
We may change prices for future periods; the store will notify you and ask you to agree before any increase applies.
Acceptable use
You agree not to reverse engineer, resell, or interfere with the app or our services, not to attempt to access other users’ data, and not to use the service for anything unlawful.
Availability and changes
We work hard to keep Spanner available but do not guarantee uninterrupted service. We may add, change or remove features. If we withdraw a paid feature you have subscribed to, you may be entitled to a pro-rated refund via the store.
If Spanner is ever discontinued, we will give at least 30 days’ notice in the app and by email to cloud-backup users so you can export your records. Your data on your device is unaffected.
Liability
Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.
Subject to that, we are not liable for any loss arising from reliance on the app as a source of legal or tax compliance, for unpaid invoices, fines, penalties, or for loss of data you have not backed up. Our total liability to you for any claim is limited to the amount you paid us in the 12 months before the claim arose.
Ending the relationship
You can stop using Spanner at any time. Uninstalling the app removes the copy on that phone. Signing out leaves the work on the phone and ends the cloud session. Delete account in Settings wipes this phone and, if you are signed in, the cloud copy. You can also email josh@spanner.pro from the address you signed in with. A Pro subscription is managed in your Apple or Google account. We may suspend or end access if you breach these terms.
Governing law
These terms are governed by the laws of England and Wales, and disputes will be dealt with by the courts of England and Wales, without affecting any consumer rights you have to bring a claim where you live in the UK.
